Please read these Terms & Conditions carefully before engaging Deneed's services or using our website. By proceeding, you agree to be bound by these terms.

1. About Deneed
   Deneed is a full-service creative studio based in Hyderabad, India, offering brand identity, graphic design, photography & video production, website design, social media management, performance marketing, and print services.

2. Services
   All services provided by Deneed are outlined in the project proposal or service agreement shared with the client prior to commencement. The scope, deliverables, timelines, and pricing agreed upon in that document form the basis of our engagement.
   Any work outside the agreed scope will be quoted separately and requires written approval before execution.

   
   

3. Project process & client responsibilities
   To ensure smooth delivery, clients are expected to:
   • Provide all required content, assets, and information in a timely manner
   • Respond to queries, proofs, and review requests within the agreed timeframe
   • Provide clear, consolidated feedback — not fragmented or contradictory input
   • Ensure that any content, images, or materials provided to Deneed do not infringe on third-party rights

Delays caused by the client may affect the project timeline. Deneed is not liable for missed deadlines resulting from delayed client input.

4. Revisions
   Each project includes a set number of revisions as specified in the proposal. Revisions are defined as minor changes to approved concepts — not fundamental reworks or new directions.
   Additional revisions beyond the agreed scope will be billed at Deneed's standard hourly or per-revision rate, communicated in advance.

   
   

5. Payments
   Unless otherwise agreed in writing:
   • A 50% advance is required before work begins
   • The remaining balance is due upon project completion or at the agreed milestone
   • Retainer clients are billed monthly, in advance

All payments are due within 7 days of invoice. Late payments may result in work being paused until the outstanding amount is cleared.
Deneed reserves the right to charge interest on overdue invoices at a rate of 2% per month.

6. Intellectual property & ownership
   Upon receipt of full and final payment, the client receives ownership of the final approved deliverables created for their project.
   Until full payment is received, all work remains the intellectual property of Deneed.
   Deneed retains the right to:
   • Use completed work in its portfolio, website, social media, and marketing materials, unless the client requests otherwise in writing
   • Retain ownership of any unused concepts, drafts, or rejected designs

Third-party assets used in the project (stock photos, fonts, icons, etc.) are subject to their respective licenses. The client is responsible for ensuring ongoing compliance with those licenses after delivery.

7. Confidentiality
   Deneed agrees to keep all client information, business details, and project materials confidential and will not share them with third parties without prior written consent, except where required by law or to deliver the service (e.g. with a print vendor).
   Clients agree not to disclose Deneed's pricing, processes, or proprietary materials to third parties.

   
   

8. Cancellations & refunds
   If a client wishes to cancel a project after work has commenced:
   • The advance payment is non-refundable
   • Any work completed up to the point of cancellation will be billed and must be paid for
   • Deliverables will only be handed over once all outstanding amounts are settled

If Deneed is unable to complete the project for any reason on our end, a fair and proportional refund will be issued for work not yet delivered.

9. Turnaround times & deadlines
   Deneed will make every reasonable effort to meet agreed timelines. However, timelines are estimates and may be affected by client delays, scope changes, or unforeseen circumstances.
   Rush timelines may be accommodated at an additional charge, subject to availability.

   
   

10. Limitation of liability
    Deneed's liability in connection with any project or service is limited to the total fees paid by the client for that specific project.
    Deneed is not liable for:
    • Loss of revenue, profit, or business opportunity arising from our work or any delays
    • Errors resulting from incorrect or incomplete information provided by the client
    • Third-party platform changes that affect the performance of delivered work (e.g. algorithm updates, platform policy changes)
    • Any indirect, consequential, or special damages

    
    

11. Performance marketing
    For performance marketing services (paid ads on Meta, Google, etc.), Deneed manages strategy, creative, and campaign execution. However:
    • Ad spend budgets are controlled and funded directly by the client through their own ad accounts
    • Deneed does not guarantee specific results, ROAS, leads, or conversions — results depend on multiple factors including market conditions, budget, and audience
    • Deneed will optimise campaigns to the best of our ability within the agreed scope

    
    

12. Website design & hosting
    Deneed delivers website design and development as per the agreed scope. Unless explicitly included:
    • Domain registration, hosting, and ongoing maintenance are the client's responsibility after handover
    • Deneed is not liable for website downtime, security breaches, or data loss after the project has been handed over

    
    

13. Governing law
    These Terms & Conditions are governed by and construed in accordance with the laws of India. Any disputes arising shall be subject to the exclusive jurisdiction of the courts in Hyderabad, Telangana.

    
    

14. Changes to these terms
    Deneed reserves the right to update these Terms & Conditions at any time. The most current version will always be available on our website. Continued use of our services constitutes acceptance of the updated terms.
